This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Advanced System Repair’s Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and the Advanced System Repair website. Throughout this Agreement, “we,” “us,” and “our” refer to Advanced System Repair, and “you,” “your,” and “yours” refer to the affiliate.

2.1 You are not allowed to enroll if your website or promotion does any of the following:

2.1.1 It is strictly prohibited to engage in deceptive or misleading marketing. In particular, affiliates may not send SMS, email, or other communications falsely stating or implying that a recipient’s phone or device is infected with a virus or otherwise compromised to induce a click or purchase. Such scare tactics violate this Agreement and applicable consumer-protection laws, and will result in immediate and permanent termination. We reserve the right to pursue all available legal remedies. All traffic must be generated through honest, non-deceptive, fully compliant marketing.

2.1.2 Deceive, mislead, scare, coerce, or otherwise pressure visitors beyond clearly explaining the benefits of the software.

2.1.3 Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

2.1.4 Promotes illegal activities.   2.1.5 Promotes sexually explicit materials.   2.1.11 Promotes violence.

2.1.6 Includes “Advanced System Repair” or variations or misspellings thereof in its domain name.

2.1.7 Is otherwise unlawful, harmful, threatening, defamatory, obscene, harassing, or objectionable to us in our sole discretion.

2.1.8 Contains software downloads that could enable diversion of commission from other affiliates.

2.1.9 You may not design your website or any site you operate in a manner that resembles our website or leads customers to believe you are Advanced System Repair or an affiliated business.

2.1.10 Incorporates materials that infringe (or assist others to infringe) any copyright, trademark, or other IP rights, or that violate the law.

2.2 As a member, you will have access to an Affiliate Account Manager where you can review program details, download approved HTML link code and banner creatives, and get tracking codes. To accurately track visits, you must use the HTML code we provide for each banner, text link, or affiliate link.

2.3 We reserve the right, at any time, to review and approve the placement and use of your links and to require changes to comply with our guidelines.

2.4 Maintaining and updating your site is your responsibility. We may monitor your site to ensure it is current and to suggest changes that enhance performance.

2.5 You are solely responsible for following all applicable intellectual-property and other laws relating to your site, including obtaining permission to use any copyrighted material.

3.1 We may monitor your site at any time to confirm compliance and may require changes to your links. If you do not make changes we deem necessary, we may terminate your participation.

3.2 We may terminate this Agreement and your participation immediately and without notice if you commit fraud or abuse the program. In such cases we are not liable for commissions on fraudulent sales.

3.3 This Agreement begins upon our acceptance of your application and continues unless terminated.

Either party may end this Agreement at any time, with or without cause, by giving written notice (mail, email, or fax). This Agreement also terminates immediately upon any breach by you.

We may modify any term at any time at our sole discretion, with notice by email. Modifications may include changes to payment procedures and program rules. If a modification is unacceptable, your only option is to end this Agreement. Continued participation after a change indicates your agreement to it.

Tracking and payment are handled by a third-party affiliate network. Please review the network’s payment terms and conditions, which govern commission calculation, thresholds, and payout schedules.

7.1 You may promote your own websites, but any promotion mentioning us could be perceived as a joint effort. Certain advertising is always prohibited, including “spamming” and unsolicited commercial email (UCE), non-commercial newsgroup postings, and cross-posting. You may not advertise in any way that conceals or misrepresents your identity, domain, or return email. You may email your own existing customers/subscribers (with an unsubscribe option) and post to newsgroups that welcome commercial messages. You must always represent yourself as independent from us. Spamming is cause for immediate termination and forfeiture of pending balances.

7.2 You may submit prospect information to a lead form only if it is real, true, and a valid lead (genuinely interested in the product).

7.3 You shall not transmit any interstitials, “parasiteware,” parasitic marketing, shopping-assistance applications, toolbar installs or add-ons, shopping wallets, or deceptive pop-ups/pop-unders from the time a consumer clicks a qualifying link until they have fully exited our site. This includes any application that overwrites commission-tracking cookies, redirects searches, sets cookies via IFrames or hidden links, targets text on sites you do not fully own for contextual marketing, or blocks/replaces affiliate banners.

8.1 We grant you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links per this Agreement and (ii) use our logos, trade names, trademarks, and similar identifying materials (the “Licensed Materials”) that we provide or authorize, solely in connection with such links. You may use the Licensed Materials only while a member in good standing. All goodwill from your use inures solely to us.

8.2 Neither party will use the other’s proprietary materials in any manner that is disparaging, misleading, obscene, or negative. Each party retains all right, title, and interest in its own materials.

Advanced System Repair MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING ITS SERVICE, WEBSITE, OR PRODUCTS. ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED. WE MAKE NO REPRESENTATION THAT OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR-FREE AND ARE NOT LIABLE FOR CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

You represent and warrant that: 10.1 this Agreement has been validly executed and is your binding obligation; 10.2 you have full right, power, and authority to enter into and perform it without any other party’s consent; and 10.3 you have sufficient right, title, and interest in the rights granted to us.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL OUR CUMULATIVE LIABILITY EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.

You agree to indemnify and hold harmless Advanced System Repair, its subsidiaries, affiliates, and their directors, officers, employees, agents, and owners against any and all claims, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of (i) any claim that our use of your affiliate trademarks infringes a third party’s rights, (ii) any breach of your representations, warranties, or covenants, or (iii) any claim related to your site or its content not attributable to us.

All confidential information (business, technical, financial, and customer information) marked “Confidential” and disclosed by one party to the other remains the disclosing party’s property. Each party will keep it in confidence and not use or disclose it without the other’s written permission.

14.1 You are an independent contractor; nothing here creates a partnership, joint venture, agency, franchise, or employment relationship. You have no authority to make offers or representations on our behalf.

14.2 Neither party may assign its rights or obligations except to a successor of substantially all its business or assets.

14.3 This Agreement is governed by the laws of the State of California, USA, without regard to conflicts-of-laws principles.

14.4 No amendment or waiver is effective unless in writing and signed by both parties. 14.5 This Agreement is the entire agreement and supersedes all prior communications. 14.6 Headings are for convenience only. 14.7 If any provision is held invalid, it will be limited to the minimum extent necessary and the remainder remains in effect.

Any affiliate, publisher, or associated party found using stolen credit cards, unauthorized payment methods, or engaging in any form of payment fraud to place orders is committing a serious criminal offense. Such actions result in immediate termination, forfeiture of all commissions, and a permanent ban. We reserve the right to take legal action, report the activity to financial institutions, payment processors, and law enforcement, and fully cooperate with any criminal investigation.
